By accessing or using Cairn Note (the "Service"), operated by Cairn Note ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms apply to all users, including individual assessors, organisation administrators, and any other persons who access or use the Service.

2. Description of Service

Cairn Note is a cloud-based platform for managing assessments, risk assessments, events, resources, and related operational activities. The Service includes:

• Assessment creation, management, and reporting
• Risk assessment tools and templates
• Event planning, location, and resource management
• Equipment inspection and checklist records
• Checkpoint sessions and group location tracking
• Document storage and sharing
• Organisation and team collaboration features
• Document export and reporting capabilities

3. Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorised use of your account

You must be at least 18 years of age to create an account. By registering, you represent that you meet this requirement.

4. Subscription Plans and Payment

The Service is offered under subscription plans, including Individual and Organisation tiers. Details of pricing and features are displayed on our sign-up page.

• Free Trial: New accounts receive a 30-day free trial. No payment is required during the trial period.
• Billing: After the trial period, your chosen subscription plan will be billed monthly. Payment is processed securely via our third-party payment provider.
• Cancellation: You may cancel your subscription at any time. Access will continue until the end of your current billing period.
• Refunds: Subscription fees are non-refundable except where required by applicable law.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Upload or transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorised access to other users' accounts or data
• Use the Service for any unlawful, fraudulent, or deceptive purpose
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service

6. Data Ownership and Content

You retain ownership of all data, content, and materials you upload to the Service ("Your Content"). By using the Service, you grant us a limited licence to store, process, and display Your Content solely for the purpose of providing the Service to you.

We do not claim ownership of Your Content and will not use it for any purpose other than delivering the Service, except as required by law.

7. Organisation Accounts

If you create an Organisation account, you are responsible for:

• Managing users within your organisation
• Ensuring all users within your organisation comply with these Terms
• Any fees associated with your organisation's subscription

Organisation administrators may add, remove, and manage user access and permissions within their organisation.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or modifications that temporarily affect availability. We will endeavour to provide advance notice of any planned downtime where practicable.

9. Limitation of Liability

To the fullest extent permitted by law, Cairn Note shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your specific requirements or that it is suitable for any particular regulatory or compliance purpose. You are responsible for ensuring the Service meets the needs of your business or professional obligations.

11. Termination

We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination:

• Your access to the Service will cease immediately
• We will retain your data for a reasonable period to allow you to export it, unless deletion is requested or required by law
• Any outstanding fees remain payable

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
